Terms of Service

timepeep is a comprehensive booking and scheduling platform designed for individuals, professionals, service-based businesses, and organizations. The Service enables users to manage personal meeting scheduling, appointments, bookings, and client relationships efficiently.

Our Service includes, but is not limited to:

• Personal meeting scheduling and availability management
• Online booking and appointment scheduling functionality
• Calendar management and synchronization with third-party calendar services
• Client and customer relationship management tools
• Automated email notifications and appointment reminders
• Business analytics and reporting dashboards
• Integration with third-party services including Google Calendar, Microsoft Outlook, and Zoom
• Customizable booking pages and service configurations
• Video conferencing integration for virtual meetings

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the confidentiality and security of your password and login credentials
• Immediately notify us of any unauthorized access to or use of your account
• Accept full responsibility for all activities that occur under your account
• Not share your account credentials with any third party
• Not create multiple accounts for the purpose of circumventing restrictions or abuse

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, outdated, or incomplete, or if we have reasonable grounds to suspect such information is inaccurate.

timepeep offers various subscription plans with different features and pricing tiers:

• Free Plan: Basic features available at no cost, subject to usage limitations
• Plus Plan: Enhanced features with monthly or annual subscription
• Premium Plan: Full feature access with priority support and advanced capabilities

Billing and Renewal: Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Payment Processing: All payments are processed securely through our third-party payment processor, Stripe. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge your payment method for the subscription fees.

Refund Policy: You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you believe you are entitled to a refund due to service issues, please contact our support team.

Price Changes: We reserve the right to change subscription prices at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:

• Violate any applicable federal, state, local, or international laws or regulations
• Infringe upon or violate the intellectual property rights or privacy rights of others
• Transmit any material that is defamatory, obscene, threatening, abusive, or otherwise objectionable
• Transmit viruses, malware, or any other malicious code
• Harass, abuse, threaten, or intimidate other users
• Send spam, unsolicited communications, or engage in any form of unauthorized advertising
• Attempt to gain unauthorized access to our systems, other user accounts, or connected third-party services
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Scrape, data mine, or use automated means to access the Service without our express written permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service for any fraudulent or deceptive purposes
• Circumvent, disable, or otherwise interfere with security-related features of the Service

We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

Your Content: You retain ownership of all content, data, and information you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display such content solely for the purpose of providing and improving the Service.

Customer Data: As a business user, you may input data about your customers, clients, or end-users into the Service. You represent and warrant that you have obtained all necessary consents and authorizations to collect, use, and share such data with us, and that your use of the Service complies with all applicable data protection and privacy laws.

Data Responsibility: You are solely responsible for the accuracy, quality, and legality of the User Content and the means by which you acquired it. We are not responsible for any User Content or the way you choose to use the Service.

Data Export: You may export your data from the Service at any time through your account settings or by contacting our support team. Upon termination of your account, we will retain your data for a reasonable period to allow you to retrieve it, after which it may be deleted.

The Service integrates with various third-party services to enhance functionality. These integrations include, but are not limited to:

• Google Services: Google Calendar integration for calendar synchronization, Google OAuth for authentication
• Microsoft Services: Microsoft Outlook Calendar integration, Microsoft OAuth for authentication
• Zoom: Video conferencing integration for virtual appointments
• Stripe: Payment processing services

Authorization: When you connect third-party services to your timepeep account, you authorize us to access and use data from those services as necessary to provide the Service. You can revoke this authorization at any time through your account settings or through the third-party service's settings.

Third-Party Terms: Your use of third-party services is subject to the terms of service and privacy policies of those third parties. We encourage you to review those terms. We are not responsible for the practices of third-party services.

Google API Services: timepeep's use and transfer of information received from Google APIs to any other app will adhere to Google API Services User Data Policy, including the Limited Use requirements.

No Warranties: We do not warrant the availability, accuracy, or reliability of any third-party services and shall not be liable for any damages arising from your use of such services or any interruption in the integration between our Service and third-party services.

Our Intellectual Property: The Service and its original content, features, and functionality are and will remain the exclusive property of timepeep and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of Ghana and applicable international treaties.

Our trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of timepeep. You may not use such marks without our prior written permission.

License to Use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

Restrictions: You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, disassemble, or decompile any part of the Service; (c) remove any proprietary notices from the Service; (d) sublicense, sell, or transfer the Service to any third party; or (e) use the Service to develop a competing product or service.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and protect your personal information when you use the Service.

By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. Key points include:

• We collect information you provide and information generated through your use of the Service
• We use your information to provide, maintain, and improve the Service
• We implement industry-standard security measures to protect your data
• We do not sell your personal information to third parties
• You have rights regarding your personal data, including access, correction, and deletion

Termination by You: You may terminate your account and these Terms at any time by canceling your subscription (if applicable) and deleting your account through your account settings, or by contacting our support team at hello@timepeep.com.

Termination by Us: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms or any applicable laws
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Extended periods of account inactivity
• Request by law enforcement or government agencies
• Discontinuation of the Service

Effect of Termination: Upon termination:

• Your right to access and use the Service will cease immediately
• Any outstanding fees will become due and payable
• We may delete your account data after a reasonable retention period
• Provisions that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and dispute resolution)

Data Retrieval: We recommend that you export your data before terminating your account. After account termination, we may retain your data for a period of 30 days to allow for data retrieval, after which it may be permanently deleted.

AS-IS BASIS: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NO GUARANTEES: TIMEPEEP, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements or expectations
• Any content or data obtained through the Service will be accurate or reliable

Third-Party Services: We disclaim all liability for third-party services, products, or websites that may be accessed through or integrated with the Service.

Professional Advice: The Service is not intended to provide legal, financial, medical, or other professional advice. Any information provided through the Service is for general informational purposes only and should not be relied upon as professional advice.

EXCLUSION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TIMEPEEP, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or use of our servers or any personal information stored therein
• Damages resulting from any interruption or cessation of transmission to or from the Service
• Damages resulting from any bugs, viruses, or similar harmful code transmitted through the Service by any third party
• Damages resulting from any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the Service

LIABILITY CAP: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

ESSENTIAL PURPOSE: THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN TIMEPEEP AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

EXCEPTIONS: Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by applicable law.

You agree to defend, indemnify, and hold harmless timepeep, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content or data you submit through the Service
• Your violation of any rights of another party, including intellectual property rights
• Your violation of any applicable laws, rules, or regulations
• Any claim that your User Content caused damage to a third party
• Your use or misuse of the Service
• Any dispute between you and your customers or clients arising from your use of the Service

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

Jurisdiction: You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of competent jurisdiction located in Accra, Ghana, and you hereby consent to the personal jurisdiction and venue of such courts.

International Users: timepeep is operated from Ghana and our services are available to users worldwide. If you are accessing the Service from outside Ghana, you are responsible for compliance with your local laws. By using the Service, you consent to having your data transferred to and processed in Ghana.

Dispute Resolution: Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at hello@timepeep.com. We will attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days.

Arbitration: Any dispute that cannot be resolved through negotiation may, at the election of either party, be finally resolved by binding arbitration administered in Accra, Ghana. The arbitration shall be conducted in the English language.

Time Limitation: Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification to the address associated with your account
• Displaying a prominent notice within the Service

Material changes will become effective thirty (30) days after we post the updated Terms or notify you, whichever occurs first. Non-material changes are effective immediately upon posting.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue your use of the Service and terminate your account.

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and timepeep concerning the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

No Third-Party Beneficiaries: These Terms are for the benefit of, and will be enforceable by, the parties only. These Terms are not intended to confer any right or benefit on any third party.
